Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a contract between you and Angelenti, LLC, doing business as Happy Stitch (“Happy Stitch,” “we,” “us,” or “our”). By using our website, Design Studio, or any related service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or place an order. By using the service you represent that you meet this requirement and that the information you provide is accurate.

3. Your account

You can use most of the Design Studio without an account, but we ask for your email to save designs across devices and to unlock AI-assisted tools. Our sign-in uses a one-time magic link sent to your email; keep your inbox secure. You are responsible for activity that happens under your account, and you agree to notify us promptly of any unauthorized use.

4. Products and custom orders

Happy Stitch sells printed needlepoint canvases and related supplies, including custom canvases produced from images you upload. Because custom items are printed to order, they are final sale and cannot be resold by us. Product images and descriptions are for reference; slight variations in color, thread matching, and canvas trimming are a normal part of handmade production.

5. Content you upload

You keep ownership of the images and artwork you upload (“User Content”). By uploading User Content, you grant Happy Stitch a non-exclusive, worldwide, royalty-free license to store, process, display, modify, and print it for the limited purpose of providing the service to you and fulfilling your orders. This license ends when you delete the content or close your account, except for copies we must retain for legal or operational reasons.

You agree not to upload content that:

• Infringes anyone’s intellectual property, publicity, or privacy rights (including recognizable third-party logos, characters, or photography you do not have rights to).
• Is sexually explicit, violent, hateful, or otherwise illegal.
• Depicts minors in any sexualized context.
• Attempts to disrupt, reverse-engineer, or abuse the service.

We screen uploaded content automatically and may review it manually. We may refuse, remove, or refund any order whose content violates these Terms, and we may suspend or close accounts that repeatedly violate them.

6. AI-assisted tools

Our Design Studio offers optional AI-assisted features such as style transfer. These tools produce suggestions, not guarantees: outputs may contain artifacts, may not match your intent, and may differ between runs. You are responsible for reviewing and approving any AI-generated design before you order it. Usage of these tools is limited per image and per account to keep costs predictable; limits may change.

7. Orders, payment, shipping, and returns

Orders are placed and paid for through our Shopify storefront. All prices are in US dollars and do not include taxes or shipping unless stated. An order is accepted when we send you a confirmation email; until then we may decline or cancel any order. 8. Our intellectual property

The Happy Stitch name and logo, the HappyGrid™ scanning and warp-alignment system, our original designs, the Design Studio software, and all related content are owned by Angelenti, LLC or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable license to use the service for your personal, non-commercial purposes. Reselling our canvases or reproducing our original designs without permission is not allowed.

9. Prohibited conduct

You agree not to misuse the service. That includes scraping or automated access beyond our public APIs, attempting to bypass rate limits or authentication, uploading malware, interfering with other customers, or using the service in violation of any law.

10. Disclaimers

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Happy Stitch disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will meet any particular standard.

11. Limitation of liability

To the maximum extent allowed by law, Happy Stitch and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of or related to these Terms or the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars, whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Happy Stitch and its owners, employees, and suppliers from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the service, your User Content, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. You and Happy Stitch agree that any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Missouri, and you consent to personal jurisdiction there. Nothing in this section limits either party’s right to seek injunctive relief in any proper jurisdiction.

14. Changes to these terms

We may update these Terms from time to time. The “Effective” date above will change when we do. If we make material changes we will make a reasonable effort to notify you in advance. Your continued use of the service after the effective date of the new Terms means you accept them.
